Mitiga – Website – Terms ofUse 1.      

Applicability.1.1.     These terms of use ("TOU")govern the website of Mitiga Security, Inc. ("Mitiga") athttps://www.mitiga.io/ (the "Site"),and certain internet services, text, information, graphics, video, documents tobe downloaded, and any other content (collectively "Content", together with the Site, the "Services") which are madeavailable to you ("User")through the Site. 1.2.     By attempting to use and/or by using the Services, or any partthereof, User agrees to fully comply with and be bound by the TOU and theprivacy policy at __________("PP", together with theTOU, the "Terms"). If Userdoes not accept the Terms, or any part thereof, User must not access and usethe Services, or any part thereof, and/or immediately stop any use of theServices.1.3.     Mitiga may, from time to time modify the TOU and of PP. Anyamended TOU and or PP will come into effect when posted on the Site. If Userdoes not agree to the TOU, as amended, User must stop using the Services. Useris advised that if User does not terminate all use of the Services, or any partthereof, User will be deemed to have accepted the TOU, as amended.2.    Representations. By using the Services Userrepresents that (i) User is authorized to use the Services, (ii) User agrees tobe bound by the terms of the TOU, and (iii) User's use of the Services does notconflict any law applicable to User.3.    Ownership. 3.1.     All title, ownership rights, and intellectual property rights(including all copyrights, patents, trade secret rights and trademarks) in andto the Content (except for the Third Party Content, as defined below),shall remain the sole and exclusive property of Mitiga, its affiliates, ortheir respective licensors, if any. User agrees that nothing contained in theServices shall be construed as transferring any ownership right and/or grantinga license to any intellectual property right, unless otherwise explicitly setforth herein.3.2.     Mitiga is always pleased to hear from its Users, and welcome theircomments or suggestions (“Suggestions”).When Mitiga refers to a Suggestion herein, Mitiga means: Any comment orsuggestion made either on the Site or otherwise to Mitiga. With regard to suchSuggestions User represents and warrants that (i) such Suggestions arenon-confidential and non-proprietary and will be treated as non-confidentialand non-proprietary; (ii) Mitiga is entitled to unrestricted use or disclosureof the Suggestions for any purpose whatsoever, all without compensation to theUser that submitted the Idea.4.    Third Party Content. 4.1.     The Site and the Content may contain certain content, icons andlinks to third party websites, as well as other content from third parties(collectively "Third Party Content").The inclusion of Third Party Content within the Services does not constituteany endorsement, guarantee, warranty, or recommendation of such third partywebsites. Mitiga is under no obligation to review and/or monitor such ThirdParty Content and is in no way responsible for any Third Party Content. Mitigahas no control over the terms of use and privacy policies of any third partywebsites and User accesses any such third party website at User's own risk.4.2.     Without derogating from the generality of the above, when clickingon certain social media links provided on the Site (e.g. Twitter, LinkedIn)User will be transferred to Mitiga's sites on such social media ("Social Media Sites"). It shallhereby be clarified that such Social Media Sites are governed by the terms ofuse and privacy policy of the respective social media and not by Mitiga.5.     Indemnity. Each User agrees upon Mitiga’s first demand to indemnify, defend,and hold Mitiga and its affiliates, licensors, officers, directors, employees,consultants, agents and representatives (collectively, “Affiliates”) harmless from any and all claims, losses, damages,liabilities, actions, or demands, and associated costs and expenses (includingwithout limitation attorneys' fees) arising out of User's: (i) use of theServices; (ii) use of any Third Party Content and/or any other interaction withthird parties through the Services; (iii) violation of the terms hereof; or(iv) violation of any third party's rights. Mitiga reserves the right, at suchUser's expense, to assume the exclusive defense and control of any matter ofindemnification by User hereunder. User shall cooperate fully as reasonablyrequired in the defense of any claim.6.     Disclaimer and Warranties. USER UNDERSTANDS AND AGREES THAT USER'S USE OF THE SERVICES ARE ATUSER'S OWN RISK. MITIGA'S SERVICES ARE PROVIDED ON AN "AS IS" AND"AS AVAILABLE" BASIS. MITIGA AND ITS AFFILIATES EXPRESSLY DISCLAIMALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOTLIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULARPURPOSE AND NON-INFRINGEMENT. MITIGA AND ITS AFFILIATES MAKE NO WARRANTY THAT(i) THE SERVICES WILL MEET USER'S EXPECTATIONS; (ii) THE SERVICES AND/OR THECONTENT ARE CORRECT AND/OR ACCURATE AND/OR UP-TO-DATE; (iii) THE SERVICES WILLBE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; AND (iii) ANY ERRORS IN THESERVICES WILL BE CORRECTED. ANY SERVICES ARE ACCESSED AT USER'S OWN DISCRETION AND RISK, AND USER WILL BE SOLELYRESPONSIBLE FOR AND HEREBY WAIVES ANY AND ALL CLAIMS AND CAUSES OF ACTION WITHRESPECT TO ANY DAMAGE THAT RESULTS FROM THE SITE, THE CONTENT, AND/OR THEDOWNLOAD THEREOF. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINEDBY USER FROM MITIGA OR THROUGH OR FROM THE SITE AND/OR THE CONTENT SHALL CREATEANY WARRANTY NOT EXPRESSLY STATED IN THE TOU.7.    Limitation of Liability. IN NO EVENT SHALL MITIGA OR ITSAFFILIATES BE LIABLE TO USER OR ANY THIRD PARTY FOR ANY PUNITIVE, INDIRECT,INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, WHETHER BASED ONWARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, INCLUDING, BUT NOT LIMITEDTO, DAMAGES FOR LOSS OF PROFITS, RESULTING FROM: (i) THE USE OR THE INABILITYTO USE THE SITE AND/OR THE CONTENT; OR (ii) ANY OTHER MATTER RELATING TO THEUSER'S USE OF THE SITE AND/OR THE CONTENT OR THESE TOU, EVEN IF MITIGA HAS BEENADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THECONTRARY HEREIN, MITIGA'S AGGREGATE LIABILITY TO USER OR ANY THIRD PARTY  WILL AT ALL TIMES BE LIMITED TO US$[_______][Bas Law1] . THE AFORESAID LIMIT SHALL NOT BE ENLARGED BY THE EXISTENCE OFMULTIPLE CLAIMS. NO ACTION ARISING HEREUNDER REGARDLESS OF ITS FORM MAY BEBROUGHT BY USER MORE THAN 60 DAYS AFTER THE CAUSE OF ACTION HAS ACCRUED.8.    Miscellaneous.8.1.    Consent to Recording. Userherby consents to the recording, by Mitiga, of any and all telephoneconversations between Mitiga and User under phone numbers provided on the Site,including but not limited to telephone conversations for the purpose of emergencyassistance. User acknowledges that such telephone conversations will be storedand used in accordance with Mitiga's privacy policy at __________.8.2.     To the extent that the Services, or any portion thereof, conflictwith the TOU, the TOU shall prevail. 8.3.     Mitiga's failure to enforce any provision of the TOU shall not bedeemed a waiver of such provision nor of the right to enforce such provision. 8.4.     Mitiga's rights under the TOU shall survive any expiration ortermination of the TOU.8.5.     The TOU shall be governed by the laws of the State of Israel withoutregard to the principles of conflict of law.
